Create a video of you using OKX. Get €20.

These Terms and Conditions (the Terms) govern the UGC Factory Program (the Campaign), operated by OKX Europe Limited (OKX, we, us, our). The Campaign Brief forms part of these Terms. By submitting a video you confirm you have read and agree to these Terms and the Campaign Brief.

1. Campaign

The Campaign runs from 1 October 2026 to 31 December 2026, inclusive (the Campaign Period), UTC+1. Rewards are available for the first 1,000 approved submissions, subject to these Terms and the Campaign Brief.

To take part, an eligible creator must, during the Campaign Period:

1. create and publish an eligible video on TikTok, Instagram Reels, X, or Youtube that shows an OKX product you actually use, from the following: Simple Buy/Sell, Recurring Buys, Trading Bots, Spot Trading, Earn/Staking, or OKX Shield, explains why they own or hold it, and carries the mandatory not-investment-advice disclaimer; and
2. submit the public video URL and their OKX UID through the designated Campaign page by 31 December 2026.

Publication and submission must fall within the Campaign Period. The Reward is not conditional on completing any trade. Showing how to open a position or conduct a trade is allowed but not required. Submitting a video does not guarantee approval or reserve a Reward.

2. Eligibility

To take part, you must:

• be an eligible OKX user who has completed identity verification (KYC);
• have a verified country or region of residence in an eligible EEA jurisdiction where the product is approved for distribution and the Campaign is available;
• hold an eligible OKX account able to receive the Reward;
• post through a TikTok, Instagram, X or YouTube account you own or control; and
• not be barred from taking part under law, sanctions, the OKX terms or other legal or regulatory restrictions.

OKX employees are not eligible. Existing OKX affiliates and KOLs may take part, provided the content is not already compensated under another OKX agreement, activation or campaign. There is no minimum follower, view, like or engagement requirement.

You may take part using only your own OKX account and UID. You must not use multiple accounts or UIDs to obtain, or try to obtain, more than one Reward for the same product promotion.

We verify your KYC status and jurisdiction against your UID before approval.

3. Reward

Each eligible creator may receive one €20 in USDG Reward per Campaign, regardless of how many videos they submit or how many platforms they post on.

We pay the Reward to your eligible OKX account within 30 days of approval, in USDG. Where operationally necessary and lawful, we may pay the equivalent in another supported fiat currency or crypto-asset.

If we cannot pay because of account restrictions or unmet account requirements, we will contact you using your registered details. You have 30 days from that notice to resolve the issue. If it is not resolved within that period, then payment is not legally or operationally possible, therefore the Reward shall be forfeited.

The Reward may be combined with other OKX promotions or benefits for which you are independently eligible, unless stated otherwise.

The Reward is compensation for an approved UGC submission. It is not a reward for trading and is not conditional on any trade.

4. What your video must show

The video must show a genuine and personal experience of an OKX product you actually use, such as Simple Buy/Sell, Recurring Buys, Trading Bots, Spot Trading, Earn/Staking, or OKX Shield. You may also show how to open a position or conduct a trade for illustration.

There is no requirement to complete a trade, and the Reward is not conditional on any trade.

You choose and fund any trade you make at your own expense, subject to the applicable OKX terms and product rules.

We use your UID and the minimum account information reasonably necessary to confirm your eligibility, as set out in the Campaign Privacy Notice.

Any submission made by you shall include the required advertising disclosure, the exact risk warning and any mandatory campaign wording.

5. Video requirements

Your video must:

• be published as a TikTok video, Instagram Reel, X post or on YouTube (any format);
• clearly show that you genuinely use any of the featured OKX products, and explain why you use it.
• be original content you created;
• be reasonably clear and viewable;
• include the required advertising disclosure, the exact risk warning and any mandatory campaign wording;
• include the mandatory "this is not investment advice" disclaimer, both clearly visible on screen and stated by you in the video (see section 6); and
• comply with these Terms and the Campaign Brief;
• tag or mention @OKX_official on Instagram, @okx on TikTok or X, or another OKX account named in the Campaign Brief;
• stay publicly accessible as required under these Terms.

You may appear on camera, but you do not have to. POV, hands-only and product-focused content may also qualify. There is no required maximum length, 10 seconds is minimal. A 10 to 30 second video is recommended unless the Brief says otherwise. Audio is optional for other content, but the not-investment-advice disclaimer must be spoken by you (see section 6). Content may be in English or any of the EU official languages, provided all mandatory disclosures, warnings and the disclaimer are clear in that language.

6. Explaining why you own or hold the product

Your video must show that you genuinely use an eligible OKX product, and explain, in your own words, why you use it.

You may give personal or lifestyle reasons, for example a product or brand you use and value. You must not present analytical or valuation-based reasons as objective fact or as a recommendation, for example "the fundamentals show it is undervalued".

Every video must carry a disclaimer that the content is not investment advice or a recommendation, so that it is not, and does not appear to be, a personal recommendation or investment advice within the meaning of MiFID.

The disclaimer must be prominent and clearly visible on screen, and you must also state it yourself in the video. A submission without this disclaimer will not be approved or rewarded.

If you show your holding, or show how to open a position or conduct a trade, hide all sensitive account, identity, balance, security and payment information. You must not expose your UID, full balances, account credentials, security codes, personal identifiers or other sensitive account or trading information.

7. Marketing communication, disclosure and risk warning

Because the eligible products are financial instruments under MICA, every Campaign post is a marketing communication and a financial promotion. It must be clearly identifiable as a marketing communication, and it must be fair, clear and not misleading. Where it refers to potential benefits, it must give an equally prominent indication of the relevant risks, and it must not disguise, diminish or obscure any important statement, warning or risk.

Your content is also advertising because you may receive a Reward from OKX. Every post must disclose that commercial relationship clearly and prominently.

Unless the Campaign Brief sets a stricter local rule, you must:

• use "Advertisement", "Advertising", "#ad" or a clear approved local-language equivalent;
• place the written disclosure at the start of the caption, before any "more" or truncation point;
• show the disclosure on the first screen of the video in a size, colour and position that are readily noticeable and readable;
• keep the on-screen disclosure visible long enough for an ordinary viewer to read it;
• use the platform's paid-partnership or branded-content tool where available; and
• apply the disclosure separately to every Campaign post.

A brand tag, a spoken disclosure alone, a profile-only disclosure, or vague terms like "collaboration", "partner" or "gifted" are not enough. You must also meet any additional disclosure requirement in the Brief or under the laws, advertising codes and platform rules that apply to you.

Every post must also carry the exact risk warning specified in the Campaign Brief, in the caption and on the first screen, clear, prominent and readable, on every post. A warning only in the invitation, Brief or profile is not enough.

Statements about OKX, the products, trading, fees, market access, product features or other benefits must be true, substantiated by your genuine experience and consistent with the Brief.

You must not:

• make false, misleading or unsubstantiated claims;
• promise or imply guaranteed returns, guaranteed profits, predictable performance, or low or no risk, or use wording like "risk-free", "safe profit", "guaranteed" or "cannot lose";
• give a personal recommendation or investment advice within the meaning of MiFID, or instructions to buy, sell or hold a product or asset. You may explain why you personally own or hold the product, provided you state clearly, in the video, that the content is not investment advice or a recommendation (see section 6);
• give any indication of past or simulated past performance, unless it uses the format approved in the Brief and carries the required warning that past performance is not a reliable indicator of future results;
• give any forecast or indication of future performance;
• make false or unsubstantiated comparisons with brokers, exchanges, banks, crypto platforms or competing products; or
• make an objective comparative claim or name a competitor unless the Brief expressly permits it.

You may express genuine personal opinions, provided you do not present them as objective facts or as recommendations.

8. Product claims and terminology

Use only the product wording approved in the final Campaign Brief. In particular:

• Simple Buy/Sell: Say "Simple Buy" or "Simple Buy/Sell." ✓
• Recurring Buys: Say "Recurring Buys" or "automated purchases." ✓
• Trading Bots: Say "Trading Bots" or "trading automation." ✓
• Spot Trading: Say "Spot Trading" or "spot markets." ✓
• Earn / Staking: Say "OKX Earn," "staking," or "passive income" (if accurate). ✓
• Shield: Say "OKX Shield" or "Shield." ✓

Never:

• Claim these are regulated investments or savings accounts.
• Compare OKX products with other platforms or exchanges.
• Compare APY to bank rates without a risk disclaimer.
• Say you "own" the underlying asset if you don't (e.g., for Earn products with lockups).

9. Originality, AI and third-party rights

Content must be original and created by you. AI-assisted editing is permitted. Substantially AI-generated or synthetic creator content, including synthetic avatars, cloned voices and fabricated testimonials, is not eligible.

You must hold all rights and permissions needed to create, publish and grant the licence in section 15 for every element of the video, including music, footage, images, trade marks and other people's appearances. Music or audio licensed only for in-app or personal use may not suit OKX reuse. On request, provide a version with commercially reusable audio or a clean version without restricted audio. We may mute or replace audio where reasonably necessary for an authorised use, without materially misrepresenting you or your message.

10. Content standards

Content must not:

• contain illegal, hateful, discriminatory, sexually explicit, violent or otherwise inappropriate material;
• promote restricted or unlawful activity;
• infringe another person's intellectual-property, privacy, publicity or other rights;
• depict unsafe or irresponsible use of OKX services; or
• materially breach these Terms, the Brief, applicable law, applicable advertising rules or platform rules.

We may reject content that breaches these Terms. Where reasonably possible, we will flag a remediable issue so you can correct and resubmit under these Terms.

11. Public profile and availability

Your profile and submitted video must be publicly accessible from submission until 30 days after approval, and viewable without OKX following you. If we cannot access the content during the review period, then the submission cannot be accepted for review.

If the approved content is subsequently deleted, made private or becomes inaccessible for reasons within your control, you may lose eligibility for an unpaid Reward. Any approved content that is unavailable 30-days after the Reward being paid shall bear no consequence.

After the 30-day period, you may delete, archive, or make the post private. This does not terminate a content licence validly granted to OKX under these Terms.

We may require you to amend or remove approved Campaign content that breaches these Terms, applicable law, an advertising rule or a platform rule, or that creates material legal, regulatory or reputational risk, whether or not the Reward has been paid.

12. Submission, review and resubmission

You may submit more than one video during the Campaign Period, but only one submission per creator and UID may be approved for a Reward.

Every submitted post is reviewed under OKX's mandatory content-control process, whether it is approved, rejected or withdrawn. Automated checks may support the process, but no submission is approved or paid without a documented final decision by an authorised reviewer.

We aim to review a complete submission within 10 business days.

Approval is based on:

• compliance with these Terms and the Brief;
• creative quality
• genuine ownership of an OKX account;
• reasonable clarity and accessibility;
• correct advertising disclosures, risk warning and approved terminology;
• presence of the mandatory not-investment-advice disclaimer, both clearly visible and stated by the creator;
• compliance with applicable legal, regulatory, advertising and brand-safety requirements; and
• verified eligibility.

Follower count, views and engagement are not conditions.

We will tell you whether your submission is approved or rejected and, where reasonably possible, give the main reason.

13. Campaign limit

Rewards are available to the first 1,000 approved submissions or until Campaign runs out of budget. Approval order, not submission order, determines eligibility. If two approvals are recorded at the same time, priority goes to the earlier complete submission.

Submissions made before the deadline may be reviewed and approved after 31 December 2026, subject to the 1,000-approval limit or until Campaign runs out of budget. We will update the Campaign page as soon as reasonably practicable once the allocation is exhausted. Submissions received before that update are not guaranteed approval or a Reward.

14. Fraud and abuse

We may reject or disqualify submissions involving:

• duplicate or recycled entries;
• plagiarised or stolen content;
• multiple accounts or UIDs used to circumvent the one-Reward limit;
• impersonation, or content submitted through an account the participant does not own or control;
• bots or manipulation of the submission, approval or payment process;
• false eligibility or account information; or
• other conduct reasonably determined to be fraudulent or intended to defeat these Terms.

Because the Campaign has no performance requirement, artificial engagement does not determine eligibility. We may still consider manipulated engagement when assessing fraud or eligibility for future creator opportunities. Where the law allows, we may withhold or recover a Reward obtained through fraud, material misrepresentation or deliberate abuse.

15. Content license

You retain ownership of your submitted content.

On approval, you grant OKX a non-exclusive, worldwide, royalty-free licence for 12 months from the approval date to use, reproduce and repost the approved content on OKX-owned social-media accounts, websites, apps and other OKX-owned digital channels, for organic and paid marketing connected with the Campaign and the relevant products.

OKX may permit its affiliates and service providers to exercise the licence solely on OKX's behalf and for the permitted purposes.

We may crop, resize, reformat, subtitle, translate, mute or replace restricted audio, and make other reasonable technical adaptations, without materially misrepresenting you or your message.

The licence covers your social-media handle, display name, image, likeness and voice only where they form part of, or reasonably identify, the approved content. It does not grant OKX a standalone right to use your identity in an unrelated campaign.

After the 12-month licence period, OKX will not newly publish the content and will cease active campaign use. We may retain archival copies where reasonably required for legal, compliance or record-keeping purposes.

16. Creator Network

Taking part does not require you to join an ongoing creator programme.

You may separately opt in to receive information about future OKX creator campaigns and opportunities. Any consent request must be optional, specific and separate from acceptance of these Terms, and must not use a pre-selected checkbox. Declining or withdrawing consent does not affect your Campaign eligibility or Reward. You may unsubscribe at any time using the method stated in the relevant message or privacy notice.

17. Privacy

OKX processes personal data for the Campaign as set out in the Campaign Privacy Notice at https://my.okx.com/es-es/help/privacy-policy-statement, which is presented to you at submission.

Campaign data may include your UID, contact and eligibility details, submitted social-media URL, public profile identifiers and content, account-verification data, review records, payment details, and your communications with OKX.

We use this data to run the Campaign, verify eligibility, review submissions, process Rewards, handle questions and disputes, meet legal obligations, and detect or prevent fraud and abuse.

The Privacy Notice identifies the controller, purposes and legal bases, data categories, recipients, international-transfer safeguards, retention periods, participant rights, and the privacy contact or data-protection officer. Data used for future creator opportunities is processed only where you separately opt in or another lawful basis applies.

18. Campaign changes

OKX may modify, suspend or terminate the Campaign where reasonably necessary for a legal or regulatory requirement, actual or suspected fraud or abuse, a material technical issue, or circumstances outside OKX's reasonable control.

We will publish material changes on the Campaign page and, where reasonably practicable, notify affected participants directly. Except where payment would be unlawful or an approval was obtained through fraud or material misrepresentation, a change, suspension or termination will not affect a Reward already approved.

Where reasonably practicable and lawful, we will continue reviewing valid submissions made before a suspension or termination. Material changes apply prospectively and will not be used to disqualify content that complied with the Terms in force when it was submitted.

19. Questions and disputes

If you believe an eligibility, approval or payment decision was made in error, you may request a review within 30 days of receiving the decision. Identify the submission and explain the alleged error. We will arrange a review by a person not responsible for the original decision and aim to respond within 15 business days.

We determine eligibility and approval under these Terms and the Brief. To request a review, contact OKX Support.

20. Applicable OKX terms

These Terms supplement the applicable OKX EEA Terms of Service, the terms governing the relevant tokenized-stock product and spot trading, and the applicable Privacy Notice.

If there is an inconsistency:

1. these Terms govern participation, approval and payment of the Reward;
2. the Campaign Brief governs creative direction, approved product claims, mandatory campaign wording, risk warnings and platform-specific instructions, provided it does not reduce a right expressly granted by these Terms;
3. the applicable product and trading terms govern any trade and use of the relevant OKX product; and
4. the applicable Privacy Notice governs the processing of personal data.

These Terms are governed by the laws of Malta. If any provision is held invalid or unenforceable, the remaining provisions continue to apply so far as the law allows.
